End-User License Agreement (EULA)

INSTALLING THE SOFTWARE CONSTITUTES ACCEPTANCE OF ALL TERMS AND CONDITIONS OF THIS LICENSE AGREEMENT. IF YOU DO NOT AGREE WITH THE TERMS OF THIS AGREEMENT, THE INSTALLATION MUST BE DISCONTINUED AND ALL USE OF THE PRODUCT MUST CEASE IMMEDIATELY.
1. Definitions
The following terms are used in this Agreement:
- Agreement – this End-User License Agreement
- Licensor – Passcovery Co. Ltd., the holder of an exclusive license to the Software with the right to sublicense
- User – a natural person or legal entity that has lawfully obtained a copy of the Software
- Software – the software distributed by the Licensor
- License – the right to use the Software granted to the User under the terms of this Agreement
- Website – the websites passcovery.com, passcovery.ru, and passwordrecoverytools.com, owned and operated by the Licensor
- HardwareID (HWID) – a unique identifier of the hardware configuration of the User's device, used for License binding
2. Subject of the Agreement
This Agreement is entered into between the User and the Licensor and sets forth the terms and conditions for the use of the Software.
This Agreement applies equally to all products distributed by the Licensor. The name of a specific product, the list of supported file formats, and the available License types are specified in the copy of this Agreement included with the distribution package of the respective product.
The Licensor holds an exclusive license to the Software with the right to sublicense, sufficient to grant the User a License under the terms of this Agreement.
The Software is not sold. The User is granted a License to use the Software under the terms of this Agreement.
3. License Types
This Agreement provides for the following License types. The specific set of available types is determined by the Software version and is indicated on the Website.
- Trial – access to the Software features (CPU and GPU modules) in demonstration mode; intended for evaluation purposes, distributed free of charge, not restricted by scope of use
- Basic – use of the CPU module; for non-commercial use only; may be purchased only by natural persons
- Standard – use of the CPU module and one GPU module; permits commercial and non-commercial use; may be purchased by natural persons and legal entities
- Professional – use of the CPU module and two GPU modules; permits commercial and non-commercial use; may be purchased by natural persons and legal entities
- Ultimate – use of the CPU module and more than two GPU modules; permits commercial and non-commercial use; may be purchased by natural persons and legal entities
4. Terms of Use
4.1. The License grants the User the right to use the Software worldwide on a number of devices equal to the number of Licenses purchased.
4.2. Licenses (other than Trial) are provided on an annual subscription basis. Activation of the Software constitutes activation of a subscription for a period of one (1) year.
4.3. During the subscription period, the User is entitled to:
- new versions of the Software, including updates for all subsequent releases;
- technical support in the form of responses to the User's inquiries (in accordance with the support policy published on the Website).
4.4. Technical support as set forth in Section 4.3 is provided on the condition that the User has installed the latest update of the current Software version and has activated the License.
4.5. Upon expiration of the subscription, the provision of updates and technical support shall cease. The User retains the right to use the last version of the Software activated during the subscription period, provided that the hardware configuration (HardwareID) remains unchanged. In the event of a HardwareID change, reactivation is possible only with an active subscription.
4.6. The User may renew the subscription for one (1) year at a special price.
4.7. During the Trial License period, the provision of technical support as set forth in Sections 4.3–4.4 is not guaranteed.
5. Warranties and Refunds
5.1. The Licensor warrants that the Software shall function during the License period in accordance with the conditions specified in the User Guide and on the Website.
5.2. The Licensor does not warrant that the Software will meet the User's individual requirements. A free Trial License is provided for preliminary evaluation of the Software.
5.3. The Licensor does not warrant the operability of the Software in the event of a breach by the User of the User Guide or this Agreement.
5.4. The Licensor acknowledges, and the User is hereby informed, that the Software may contain errors. The existence of errors alone does not constitute grounds for a refund.
5.5. The purchase of a License constitutes an informed decision by the User, who has evaluated the Software's capabilities through the Trial License (Section 5.2). The User shall not be entitled to a refund on the grounds that the Software does not meet the User's individual requirements.
5.6. Upon discovering an error in the Software, the User shall submit a report to the Licensor. The Licensor shall review the report within 7 (seven) calendar days and notify the User of the results. If the error is confirmed as attributable to the Licensor, it shall be resolved within 30 (thirty) calendar days, or a full refund of the amount paid for the License shall be issued. If the error is not attributable to the Licensor, no grounds for a refund shall exist.
5.7. Other refund-related requests shall be handled in accordance with the Refund Policy published on the Website.
6. Restrictions
6.1. The User shall not rent, sublicense, or otherwise transfer the Software to third parties, whether for compensation or free of charge.
6.2. The User shall not use the Software as part of any commercial password recovery service.
6.3. The User shall not decompile and/or modify the Software.
6.4. The User shall not use the Software to create data or program code intended for recovering passwords to file formats for which the Software is designed.
6.5. The User may create a backup copy of the Software solely for archival purposes or to replace a lost, damaged, or otherwise unusable original copy. Such copy shall not be used for any other purpose and shall be destroyed once the grounds for its lawful retention no longer exist.
6.6. The original copy of the Software with a Trial License may be freely distributed by the User by any means without the prior consent of the Licensor.
7. Permitted Use
The Software is intended exclusively for the lawful recovery of access to data over which the User has the appropriate rights. Permitted use cases include, but are not limited to:
- recovery of access to the User's own files and documents;
- corporate IT support tasks performed with appropriate authorization;
- forensic and investigative activities conducted within established legal procedures.
The use of the Software for unauthorized access to third-party data is prohibited and constitutes a breach of this Agreement.
By purchasing a License, the User confirms that the acquisition and use of the Software does not violate the laws of the User's jurisdiction and that the Software will not be used for unlawful purposes.
8. Limitation of Liability
8.1. The Licensor shall not be liable for any loss of data, damages, lost profits, or any other harm arising from the use of or inability to use the Software. The User uses the Software at the User's own risk.
8.2. The Software utilizes the computational resources of the CPU and/or GPU at maximum load. Prior to use, the User shall ensure that the device's cooling system is in proper working order. The Licensor shall not be liable for hardware failures resulting from inadequate technical condition of the equipment, including cooling system malfunctions.
9. Breach of the Agreement
Any breach of this Agreement, including infringement of the exclusive rights to the Software, shall result in the immediate termination of the License and may give rise to civil, administrative, and/or criminal proceedings in accordance with applicable law.
10. Governing Law and Dispute Resolution
This Agreement shall be governed by and construed in accordance with the laws of the jurisdiction in which the Licensor is incorporated. Any disputes not resolved through good-faith negotiation shall be submitted to the competent courts at the Licensor's place of incorporation.
Users who are consumers residing in the European Union may be entitled to additional rights under the mandatory consumer protection laws of their country of residence, to the extent such laws cannot be excluded by agreement.
11. Final Provisions
All rights not expressly granted under this Agreement are reserved by the Licensor.
12. Amendments
The Licensor reserves the right to amend this Agreement. The current version is published on the Website. The use of Software activated under a previous version of this Agreement shall be governed by the version in effect at the time of activation.
