Passcovery Co. Ltd. (hereinafter – the Company)

and passwordrecoverytools.com
BY USING THE WEBSITE, YOU ACKNOWLEDGE THAT YOU HAVE READ AND AGREE TO THESE TERMS. IF YOU DO NOT AGREE WITH THESE TERMS, YOU MUST DISCONTINUE USE OF THE WEBSITE.
1. Definitions
The following terms are used in these Terms:
- Company – Passcovery Co. Ltd., the holder of an exclusive license to the Software with the right to sublicense, the operator of the Website
- Website – the websites passcovery.com, passcovery.ru, and passwordrecoverytools.com, owned and operated by the Company
- Visitor – a natural person or legal entity using the Website
- User – a natural person or legal entity using the Software under the terms of the EULA
- Software – the software distributed by the Company through the Website
- License – the right to use the Software granted to the User under the terms of the EULA
- EULA – the End-User License Agreement published on the Website and included with the Software distribution package
2. Intellectual Property
2.1. Website content – page texts, press releases, graphic materials, and other items published on the Website – is the intellectual property of the Company and is protected by applicable copyright law and international treaties. The Software is distributed by the Company under an exclusive license with the right to sublicense.
2.2. Fair use references to the Company, its products, and services – in reviews, articles, and other informational materials – are permitted with attribution to the Website.
2.3. Reproduction of Website content for commercial purposes is permitted only with the prior written consent of the Company.
2.4. Any other unauthorized use of Website content is prohibited and may result in liability under applicable law.
3. License Purchase Terms
3.1. Subject of purchase. The Visitor purchases a License to use the Software – not the Software itself. The terms of use of the Software are governed by the EULA. By purchasing a License, the Visitor confirms having read and accepted the terms of the EULA.
3.2. License types. The list of available License types, their specifications, and pricing are determined for each product individually and are indicated on the respective page of the Website and in the EULA included with the distribution package.
3.3. Term and renewal. Licenses (other than Trial) are provided on an annual subscription basis. The terms of Software use upon expiration of the subscription, as well as renewal conditions, are set forth in the EULA.
3.4. Delivery. Upon confirmation of payment, the registration key is automatically sent by the payment processor to the email address provided by the Visitor at checkout. The Company does not participate in the key delivery process and shall not be liable for failures on the part of the payment processor or the Visitor's email service. Activation of the Software is performed by the User independently using the registration key received.
3.5. Taxes and fees. License prices are listed on the Website. Applicable taxes, duties, and other mandatory charges, including VAT for European Union residents, are added to the order total by the payment processor at checkout.
3.6. Refunds. Refund terms are set forth in the Refund Policy published on the Website.
4. Prohibited Activities
When using the Website, the following activities are prohibited:
- automated data collection (parsing, scraping) without the prior written consent of the Company;
- attempts to gain unauthorized access to Website resources, server infrastructure, or third-party accounts;
- actions aimed at disrupting the operability of the Website or placing excessive load on its infrastructure.
5. Relationship with Other Documents
5.1. The terms and restrictions governing the use of the Software are set forth exclusively in the EULA. No Website content shall be construed as overriding, supplementing, or replacing any provision of the EULA.
5.2. The terms of personal data processing and the use of cookies and analytics tools are described in the Privacy Policy published on the Website.
6. Changes to Website Content
The Company reserves the right to modify Website content, the Software lineup, service terms, and these Terms at any time without prior notice. The current version of these Terms is published on the Website.
7. Limitation of Liability
7.1. The Company shall not be liable for any damage arising from the use of or inability to use the Website.
7.2. The Website may contain links to third-party resources. The Company does not control the content of such resources and shall not be liable for their availability, accuracy, or consequences of their use.
8. Export Restrictions
The Visitor is solely responsible for ensuring that the acquisition and use of the Software comply with the laws of the Visitor's jurisdiction, including applicable export restrictions and software use requirements.
9. Governing Law and Dispute Resolution
These Terms shall be governed by and construed in accordance with the laws of the jurisdiction in which the Company is incorporated. Any disputes not resolved through good-faith negotiation shall be submitted to the competent courts at the Company's place of incorporation.
Visitors who are consumers residing in the European Union may be entitled to additional rights under the mandatory consumer protection laws of their country of residence, to the extent such laws cannot be excluded by agreement.
